The price paid by LEONI Kabel Holding GmbH & Co. KG, a subsidiary of LEONI AG in Nuremberg, for all the shares purchased in KERPEN GmbH & Co. KG of Stolberg taking business effect on 1 October 2005 is EUR 10,775,000.  In addition, the Company assumed responsibility for net debt amounting to EUR 20.8 million as well as EUR 2.5 million in pension commitments from KERPEN GmbH & Co. KG.
To date not all the suspensive provisos have yet been met, with for instance the decision of the German Federal Cartel Office still pending.
